Singpass Developer Portal Terms of Use

1. GENERAL

The Portal is provided by the Government Technology Agency on behalf of the Government of Singapore ("we", "us" or "our" refers collectively to the Government of Singapore and Government Technology Agency).

All access or use of the Portal is governed by and subject to the terms and conditions set out in these Terms of Use ("Terms"). By accessing or using the Portal, you are agreeing to these Terms. If you do not agree to these Terms, please do not access or use the Portal and exit immediately.

These Terms may be changed from time to time without prior notice and are effective immediately. Your use of the Portal after such changes have been posted shall constitute your agreement to be bound by the modified Terms and all of the changes. Please check the Terms whenever you access the Portal.

If you access or use the Portal on behalf of an Organisation, you represent and warrant that you have been authorised to access or use the Portal on behalf of the Organisation and to bind the Organisation to these Terms.

In these Terms, unless otherwise defined or unless the context otherwise suggests, when the following words and phrases are used, they will have the following meanings:

  1. "Government Technology Agency" or "GovTech" means the Government Technology Agency, a body corporate established under the Government Technology Agency Act 2016.
  2. "Losses" means any and all liabilities, losses, damages, actions, claims, demands, costs, expenses, data loss, data errors, loss of profits, penalties, settlement sums and sums paid in satisfaction of any court, arbitral or expert award, or any other kind of loss or liability.
  3. "Organisation" means a company, partnership, association or other organisation or body corporate.
  4. "Parties" means you and us, and "Party" means either you or us.
  5. "Portal" means the Singpass Developer Portal accessible at https://developer.singpass.gov.sg/ (or such other successor site), and all information, content, software, web pages, features, functionalities, and other materials or content provided, displayed or made available thereunder, including the following:
    1. documentation, specifications, and guidelines;
    2. any and all application programme interfaces, software development kits, information, data /or any other materials;
    3. marketing materials and other information;
    4. tools for requesting, configuring and managing applications; and
    5. tools for monitoring, viewing and accessing usage and billing information.
  6. "Portal Operator" means the operator of the Portal, as appointed by the Government of Singapore.
  7. "Non-Specified Entity" means any Organisation which is not a Specified Entity.
  8. "Specified Entity" means the following, subject to Clause 1(1):
    1. the Government of Singapore;
    2. any ministry, government department or organ of state;
    3. any department, commission, authority, agency or other body operated by or accountable to the Government of Singapore in (i) or any ministry, government department or organ of state within the Government of Singapore;
    4. any organisation established by or under written law to perform or discharge any public function under the supervisory charge of a ministry or organ of state; or
    5. any other entity which we may prescribe from time to time.
  9. "Singpass API" or "Singpass APIs" mean services to be made available in relation to your applications and interfaces between you and your users, which are also known as "Singpass APIs".

Unless the contrary intention appears, in these Terms:

  1. any reference to "Specified Entity" excludes the Government of Singapore and GovTech, to the extent that it/they is/are acting in its/their capacity as the provider of the Portal or Portal Operator.

2. SEPARATE BUSINESS ARRANGEMENTS FOR USE AND ACCESS TO SINGPASS APIS

Your use and access to the Singpass APIs are subject to separate business arrangements as follows:

  1. If you are a Non-Specified Entity, you will have to accept the Singpass API Services Agreement between you and Assurity Trusted Solutions Pte. Ltd. accessible at https://developer.singpass.gov.sg/service-agreement/ (or such other successor site) for all other Singpass APIs.
  2. If you are a Specified Entity, you will have to enter into such arrangement with the Government of Singapore as may be prescribed by us from time to time.(collectively referred to as "Separate Business Arrangements").

You are required to enter into the applicable Separate Business Arrangements to use and access the Singpass APIs.

If you do not enter into these Separate Business Arrangements:

  1. your access and use of the Singpass APIs may be restricted or suspended;
  2. any access and use of the Singpass APIs will be at your own risk, and you may be required to pay the applicable fees in relation to such access and use; and
  3. we will not be liable for any Losses arising out of or in connection with any restriction or suspension of the Singpass APIs or any access and use of the Singpass APIs.

3. ACCESS TO THE PORTAL

We do not make any warranty or representation that your access and use of the Portal will be uninterrupted, free from error, free from computer virus or other malicious, destructive or corrupting code or that any identified defect will be corrected. We shall not be liable for any Losses arising out of or in connection with any such interruption, error, defect or computer virus or other malicious, destructive or corrupting code, including but not limited to:

  1. any loss of, or any inability to access, use or retrieve, any data or information however caused as a result of any interruption, suspension or termination of service; and
  2. any inaccuracy in the information presented, provided, used or transmitted through the Portal.

We shall be entitled to upgrade, modify, suspend, terminate, discontinue the provision of or remove or vary the Portal (whether in whole or in part) or its operating hours at any time without prior notice at our sole and absolute discretion without giving any reason and without prejudice to our rights against you (including all rights of action for any antecedent breach of these Terms by you). We shall not be liable if any such upgrade, modification, suspension, termination, discontinuation, removal or variation prevents you from accessing the Portal.

We shall also have the right (in addition to and without prejudice to all other rights and remedies available, including the right to claim damages) to terminate your access to the Portal at any time without prior notice, should you breach the Terms, or use the Portal or the contents of the Portal for any unlawful purpose.

4. RELYING ON INFORMATION

We do not guarantee the accuracy, correctness, adequacy, fullness, reliability, timeliness, non-infringement, title, merchantability, fitness for any particular purpose of the Portal, or any statement, opinion, representation, content or any other information provided, displayed or made available through the Portal. Any information provided, displayed or made available through the Portal does not constitute professional or legal advice. Before relying on the Portal, you should do your own checks or obtain professional advice relevant to your particular circumstances.

5. SECURITY

We shall not be responsible or liable for the security, authenticity, integrity or confidentiality of any transactions and other communications made through the Portal. Internet communications may be susceptible to interference or interception by third parties. We make no warranties that the Portal is free of infection by computer viruses or other unauthorised software.

You should take appropriate steps to keep your information, software and equipment secure. This includes clearing your Internet browser cookies and cache before and after using any services on the Portal. You should keep your passwords confidential. You shall immediately notify us in confidence if you know or have reason to suspect that the security of your password has been compromised.

6. LINKS TO OR FROM THE PORTAL

We do not warrant and endorse, and are not responsible or liable for the availability or content of any other portal ("Other Portal") linked to or from the Portal. Access to any Other Portal is at your own risk. If you create a link or frame to the Portal, or access the Portal by any means other than through the official Portal's URL, you do so at your own risk.

We shall not be liable for any Losses caused as a result (direct or indirect) of the use of any Other Portal, including but not limited to any Losses suffered as a result of reliance on the contents contained in or available from the Other Portal.

We shall have the right to object to or disable any link or frame to or from the Portal. We shall also have the right to change the URL of the Portal.

7. INTELLECTUAL PROPERTY

The contents of the Portal, including source code, pages, documents and online graphics, audio and video in the Portal are protected by law. The intellectual property rights in the materials are owned by or licensed to us. In using the Portal, you shall not infringe any intellectual property rights or interests of us or any other party.

Apart from any fair dealings for the purposes of private study, research, or review, as permitted in law, no part of the Portal may be reproduced or reused for any commercial purposes whatsoever without our prior written permission.

8. USE OF THE PORTAL

Your access and use of the Portal:

  1. is solely for the following purposes only: (i) prototyping your applications and interfaces that are intended for the Singpass APIs to be made available on; (ii) evaluating and testing your applications and interfaces in staging environments provided by us which are intended for use with the Singpass APIs; and (iii) reviewing and making configuration changes for your applications and interfaces in both staging and production environments; and
  2. does not grant you any right to use, access and make available the Singpass APIs on your applications and interfaces between you and your users, as these are subject to the Separate Business Arrangements under Clause 2.

You agree that you will not use the Portal or the contents of the Portal for any purpose that is unlawful or prohibited by the Terms. You will indemnify us and the Portal Operator for all Losses sustained, incurred or suffered by us or the Portal Operator (as the case may be) arising out of or in connection with any breach of these Terms by you, or any deliberate misconduct or unlawful act by you or any of your directors, officers, personnel, employees, servants or agents.

You agree that we and the Portal Operator are not responsible for preserving the confidentiality of any data or information that you choose to disclose in your use of the Portal.

You shall be responsible for all Losses arising out of or in connection with your use of the Portal, including any unauthorised use of your Singpass account by any person without your authority, knowledge or consent. Neither we nor the Portal Operator shall be liable for any such Losses.

9. GENERAL DISCLAIMER AND LIMITATION OF LIABILITY

The Portal and any features, functionalities, or services related to the Portal are provided on an "as is" and "as available" basis without warranties of any kind. Without prejudice to the other provisions of these Terms, we shall not be liable to you or any third party for any Losses, whatsoever and howsoever caused, arising out of or in connection with:

  1. your access or use of the Portal;
  2. any features, functionalities, or services related to the Portal;
  3. your failure to follow the instructions, procedures and directions for using the Portal;
  4. your reliance on any statement, opinion, representation or any other information made available through the Portal;
  5. any delay in operation or transmission, communications failure, internet access difficulties or malfunctions in equipment or software (including malfunctions of any computer, terminal connection line, data processing system, transmission link or any other equipment whether or not belonging to us);
  6. any computer virus or other malicious, destructive or corrupting code;
  7. the conduct or the views of any person who accesses or uses the Portal; or
  8. any loss of security or information.

10. FEES

We do not currently charge fees for the use of the Portal. We shall have the right to introduce new fees from time to time. We are not responsible for any fees charged by any other Internet site (not provided by us).

11. RIGHTS OF THIRD PARTIES

  1. Save for the Portal Operator, a person who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act 2001 or otherwise to enforce any provision of these Terms.
  2. The Portal Operator may enforce and rely on these Terms to the same extent as if it were a party to these Terms.
  3. These Terms may be revised or varied without the consent of the Portal Operator.

12. GENERAL

  1. These Terms contain the entire and whole agreement between the Parties relating to the subject matter of these Terms.
  2. In the event any provision in these Terms is determined to be illegal, invalid or unenforceable, in whole or in part, such provision or part of it shall, to the extent it is illegal, invalid or unenforceable, be deemed not to form part of these Terms and the legality, validity and enforceability of the remainder of these Terms shall not be affected.
  3. In no event shall any delay, failure or omission on the part of either of the Parties in enforcing any right, power, privilege, claim or remedy ("Remedy"), which is conferred under these Terms or at law or in equity, or arises from any breach by the other Party, (a) be deemed to be or be construed as a waiver or variation thereof, or of any other such Remedy, in respect of the particular circumstances in question, or (b) operate so as to bar the enforcement or exercise thereof, or of any other such Remedy in any other instances at any time or times thereafter.
  4. No waiver of any breach of these Terms shall be deemed to be a waiver of any other or of any subsequent breach.
  5. Any waiver granted under these Terms must be in writing and may be given subject to conditions. Such waiver under these Terms shall be effective only in the instance and for the purpose for which it is given.

13. GOVERNING LAW AND JURISDICTION

  1. These Terms and the access or use of the Portal will be governed and construed in accordance with the laws of Singapore.
  2. Subject to Clause 13(c), any dispute arising out of or in connection with these Terms or the access or use of the Portal, including any question regarding the existence, validity or termination of these Terms, will be referred to and finally resolved in the courts of the Republic of Singapore and you submit to the exclusive jurisdiction of the courts of the Republic of Singapore.
  3. We may, at our discretion, refer any dispute referred to in Clause 13(b) to arbitration administered by the Singapore International Arbitration Centre ("SIAC") in Singapore in accordance with the Arbitration Rules of the SIAC ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. Further —
    1. the seat of the arbitration will be Singapore;
    2. the tribunal will consist of one (1) arbitrator to be agreed upon in accordance with the SIAC Rules, except that if no agreement is reached within thirty (30) calendar days after receipt by one party of such a proposal from the other, the arbitrator will be appointed by the Chairman of the SIAC;
    3. the language of the arbitration will be English; and
    4. all information, pleadings, documents, evidence and all matters relating to the arbitration will be confidential.
  4. Where we are a defendant or respondent, we will have at least thirty (30) calendar days before the commencement of any legal action against us to elect to exercise the right under Clause 13 to have the dispute submitted to arbitration. This right to elect will not limit our right to a limitation defence and the period to exercise the right will not be abridged by reason of any accrual of a limitation defence in our favour during the said period.

14. VARIATION

We may revise these Terms at any time by updating this page, and will provide notification thereof on the Portal. You should visit this page from time to time and review the then current Terms because they are binding on you. We may modify or discontinue any information or features that form part of the Portal at any time, with or without notice to you, and without liability.
